Background on delisting from the Euronext Oslo Stock Exchange

he Annual General Meeting has approved on 24 March 2026 the delisting of the company's shares from the Oslo Stock Exchange and authorized the Board of Directors to take all necessary measures to implement the delisting, including filing a delisting application with the Oslo Stock Exchange on behalf of the company.

The company is in a process of filing the application for delisting. Tieto's shares will continue to be traded on Nasdaq Helsinki and Nasdaq Stockholm without interruption.

The registration of the company’s shares will continue to be maintained in the Norwegian central securities depository (Euronext Securities Oslo, formerly VPS) for a transitional period of at least 12 months from the date of delisting to enable shareholders to convert their shares to the Finnish book-entry system maintained by Euroclear Finland. During this period, shareholders’ rights, including, among others, the right to receive dividends, remain unchanged.

Alternatives to shareholders on the Oslo Stock Exchange

If you wish to keep your Tieto shares

Shareholders wishing to keep their shares in the company following the delisting are recommended to consider converting their shares registered on the Norwegian central securities depository (Euronext Securities Oslo) system to Euroclear Finland for Tieto shares listed on Nasdaq Helsinki. By converting shares to Euroclear Finland, you ensure that your Tieto shares will continue to be tradeable after the listing on Oslo Stock Exchange ends.

If you wish to convert your shares, such transfer can only be accomplished by you and there will be no automatic conversion to Euroclear Finland. Please see instructions for the conversion below.

If you wish to sell your shares in Tieto

Shareholders may trade and sell their Tieto shares on the Oslo Stock Exchange until the delisting is effective (such date will be informed to shareholders well in advance). In the event you wish to sell your shares instead of converting to Euroclear Finland, you may contact your VPS account operator in Norway for assistance.

If you wish to sell your Tieto shares after the delisting, you will first need to convert your shares to Euroclear Finland for Tieto shares listed on Nasdaq Helsinki. There will be no automatic conversion to Euroclear Finland.

How can I convert my shares to Euroclear Finland (Tieto shares listed on Nasdaq Helsinki)?

Tieto's shares can be converted from Norway to Finland i.e. between the Norwegian Central Securities Depository (Euronext Securities Oslo) in Norway and Euroclear Finland. Shareholders who wish to transfer a position between the two markets should contact their custodian/account operator in Norway who will inform the shareholders on what is required to convert the shares. The conversion will entail an estimated cost of NOK 1 500 per conversion event that Tieto is planning to cover on behalf of the shareholders if the AGM resolves to approve the proposed delisting. Tieto will cover this conversion cost to shareholders for one conversion per account from 1 April 2026 to 31 December 2026. Please note that shareholders may be responsible for potential additional costs charged by their own custodian/account operator. Please see instructions for the conversion below:

Required steps:

  1. Contact your custodian bank to arrange for the transfer to Euroclear Finland
  2. Open an international securities account in connection with the transfer. If you already have an international securities account, you do not need to open a new account
  3. Arrange for the transfer of your shares from your ES-OSL account (VPS-account) to your international securities account and onwards to Euroclear Finland. Your custodian bank in Norway will be able to arrange for the transfer of the shares to Euroclear Finland

Detailed process:

  • You will need to contact your VPS account operator's support team, often called "Verdipapirseksjonen", "Verdipapirservices", "Investor Services" or similar
  • Instruct them of the content of this page and that you need to transfer your Tieto shares from ES-OSL to Euroclear Finland
  • Your VPS account operator will need to instruct Nordea (Nordea Corporate Action NO) to transfer your shares from ES-OSL to Euroclear Finland. Larger account operators/banks have conversion teams within that will be able to assist in the transfer
    • If asked, your VPS account operator should contact Nordea Corporate Action NO team at: issuer.ops@nordea.com to obtain the necessary documentation for the transfer
  • The account operator where you hold your international securities account will register your Tieto shares to your international securities account

After the transfer:

After the transfer has been completed by you, you ensure that you can trade (buy and sell) your shares in Tieto also in the future.

Note for custodians: Nordea, as the conversion agent, will not charge a conversion fee from custodians for conversions executed between 1 April 2026 and 31 December 2026, because Tieto (the issuer) has decided to cover costs related to conversion for their shareholders in Norway. Therefore, Tieto shareholders converting their shares to Euroclear Finland should not be charged any fees by custodians for actions related to conversions during this period.

Shareholders of Tieto should note that they are responsible for potential additional costs charged by their own custodian/account operator.
