Salary and benefits

Total salaries in 2019 EUR 3 005 470.
Total benefits in 2019 EUR 188 055.
Special payments 2019, comprising integration award, EUR 1 412 032.

Basis of bonus

The purpose is to reward the Group Leadership for company performance and individual performance, forming the overall performance evaluation (OPE).

When achievements meet the targets the Group Leadership will receive a bonus equal to 50% of annual base salary. Maximum bonus is 100% of annual base salary.

In addition to individual performance, reward factors include company related performance criteria, such as revenue, profit and operational targets.

Based on financial performance in 2019, Group Leadership members are paid in total a bonus of EUR 1 141 394. 

Share-based incentive plans

Participants in share-based incentive plans for Tieto 2018–2020,  Tieto 2019–2021 and EVRY interim RSP 2017, 2018 and EVRY STIP RSP.

Tieto LTI plans’ share rewards will be based on the relative Total Shareholder Return of TietoEVRY share (TSR), strategic target related to TietoEVRY growth and Earnings per Share (EPS). In December 2019, former EVRY Long-term incentive plan 2017 and 2018 as well as one-off Short-term incentive plan restricted stock unit program (RSU's) were transferred into TietoEVRY restricted share plan as described and approved in merger prospectus. EVRY interim plans continue to vest linearly with one-third after 12 months, one-third after 24 months and one-third after 36 months.

In March 2020, a total of 31 110 shares were transferred based on the Performance Share Plan and Restricted Share Plan 2017-2019 and EVRY interim plans. In addition, a cash portion was paid corresponding to a value of 25 906 shares.

Group Leadership members participate in TietoEVRY LTI 2020-2022 plan where shared rewards are be based on relative Total Shareholder Return of TietoEVRY share (TSR) and Earnings per Share (EPS).

Share ownership guideline

The recommended minimum investment in company shares corresponds to the executive's one time annual gross base salary.

Pension expenditure

All Group Leadership members based in Finland with no pension plans implemented earlier: annual fee equals to 15% of annual base salary (defined contribution plan (1). The company provides members based outside Finland individual defined contribution-based pension plans accordant with local practices.

For Group Leadership members who joined from EVRY during 2019, the annual pension entitlement is calculated as 25% of salaries exceeding 12 G (grunnpension).

1) Payments to defined contribution plans are recognized as expenses for the period to which they relate. After payment of the contribution the Group has no further obligations in respect of such plans.
